1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Timely Church LLC, a Texas limited liability company ("Company," "we," "us," or "our"), governing your access to and use of the TimelyChurch website, platform, and services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Our Mission and Christian Values

2.1 Statement of Faith

Timely Church LLC operates according to traditional, orthodox Christian beliefs, including but not limited to:

• The Bible is the inspired, infallible Word of God and the ultimate authority for faith and practice
• There is one God, eternally existing in three persons: Father, Son, and Holy Spirit
• Jesus Christ is the Son of God, fully divine and fully human, who died for our sins and rose again
• Salvation is by grace through faith in Jesus Christ alone
• The Church is the body of Christ, called to worship, fellowship, discipleship, ministry, and evangelism

2.2 Service Purpose

The Service is specifically designed, developed, and intended to support Christian churches, ministries, and organizations that share or respect these values. By using the Service, you acknowledge that TimelyChurch was created to advance the mission of Christian churches and agree to use the Service in a manner consistent with this purpose.

2.3 Respect for Our Values

By accessing or using the Service, you agree to respect the Christian faith, values, and mission of Timely Church LLC. You understand that the Service is an expression of our faith and that we have designed it to serve organizations aligned with Christian principles. You agree not to use the Service in any manner that would require us to facilitate, support, or promote beliefs, practices, or activities that conflict with our sincerely held religious beliefs.

3. Service Eligibility and Intended Users

3.1 Intended Users

The Service is designed for and intended to be used by:

• Christian churches and congregations
• Christian ministries and parachurch organizations
• Christian schools, camps, and educational institutions
• Other faith-based organizations aligned with traditional Christian beliefs

3.2 Eligibility Requirements

To be eligible to use the Service, your organization must:

• Be a legitimate church, ministry, or religious organization
• Use the Service for its intended purpose of church and ministry management
• Agree to respect the Christian values and mission of Timely Church LLC
• Not use the Service in any way that is contrary to the intended Christian purpose of the platform

3.3 Right to Determine Eligibility

Timely Church LLC reserves the sole and absolute right to determine, in its exclusive discretion, whether any organization or individual is eligible to use the Service. We may refuse service to, or terminate the account of, any user or organization that we determine, in our sole judgment, is not aligned with the intended purpose and values of the Service. We are under no obligation to explain or justify any such determination.

4. Description of Service

TimelyChurch provides a web-based church management platform designed for churches and religious organizations. The Service allows you to manage members and families, schedule volunteers, plan events and services, track attendance, communicate with your congregation, accept online donations, and coordinate ministry activities. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

5. Website Content, Marketing Materials, and Feature Descriptions

5.1 No Warranty of Accuracy

While we strive to keep our website and marketing materials accurate and up-to-date, we make no representations or warranties, express or implied, regarding the accuracy, completeness, reliability, or currentness of any content on our website, including but not limited to:

• Feature descriptions, capabilities, and functionality
• Screenshots, mockups, user interface images, and demonstrations
• Pricing information and plan comparisons
• Integration descriptions and third-party compatibility
• Testimonials, case studies, and use case examples
• Blog posts, guides, tutorials, and educational content
• Any other promotional or marketing materials

5.2 Features Subject to Change

The features, functionality, and user interface of the Service are subject to change at any time without prior notice. 5.4 No Reliance on Website Content

You acknowledge and agree that you shall not rely on any content, statements, or representations made on our website or in any marketing, promotional, or advertising materials as the basis for your decision to use the Service. Your use of the Service is governed solely by these Terms of Service and your actual experience with the Service. We strongly encourage you to use our free plan to evaluate whether the Service meets your needs before upgrading to a paid plan.

5.5 Marketing and Promotional Content

Any statements made in marketing materials, promotional content, sales presentations, webinars, demos, or communications with our sales or support team are for informational purposes only and do not create any warranty, guarantee, or contractual obligation. Such statements do not modify or supplement these Terms of Service in any way. Only the terms explicitly stated in this agreement govern your relationship with Timely Church LLC.

6. Account Registration and Security

To use certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept full responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access or use of your account

7. Subscription, Payment, and Fees

7.1 Free and Paid Plans

7.2 Billing and Automatic Renewal

For paid plans:

• You will be billed in advance on a recurring monthly or annual basis
• All fees are exclusive of applicable taxes, which you are responsible for paying
• Your subscription will automatically renew unless cancelled before the renewal date
• You may cancel your subscription at any time through your account settings
• Price changes will be communicated in advance and take effect at the next billing cycle

7.3 Refunds

Monthly subscriptions are non-refundable. Annual subscriptions may be eligible for a prorated refund if cancelled within the first 30 days, at our sole discretion. No refunds will be provided for partial months or unused features.

7.4 Third-Party Payment Processing

Payments are processed through third-party payment processors (such as Stripe). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for any errors, failures, or issues arising from third-party payment processors. Any fees charged by third-party service providers are between you and that provider.

8. Your Content and Data

8.1 Ownership

You retain ownership of all content, data, and information you submit to the Service ("Your Content"). This includes member information, schedules, communications, and any other data you create or upload.

8.2 License to Us

By submitting content to the Service, you grant Timely Church LLC a non-exclusive, worldwide, royalty-free license to use, store, copy, and process Your Content solely to provide, maintain, and improve the Service.

8.3 Your Responsibility for Content

You are solely responsible for the legality, reliability, accuracy, and quality of Your Content. You represent and warrant that you have all necessary rights to share the content you upload and that it does not violate any third-party rights, applicable laws, or these Terms. We are under no obligation to review, monitor, or be responsible or liable for Your Content.

8.4 Data Backup

YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING BACKUP COPIES OF YOUR CONTENT. While we implement reasonable backup procedures, we do not guarantee against data loss. We strongly recommend that you regularly export and backup your data.

9. Acceptable Use Policy and Content Standards

9.1 General Prohibited Uses

You agree NOT to use the Service to:

• Violate any applicable federal, state, local, or international laws or regulations
• Infringe upon the intellectual property or privacy rights of others
• Send spam, unsolicited communications, or harassing messages
• Upload viruses, malware, or any malicious code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Impersonate any person or entity
• Collect user information without proper consent
• Use the Service for any purpose other than its intended church management use
• Resell, redistribute, or sublicense the Service without authorization
• Interfere with or disrupt the integrity or performance of the Service

9.2 Content Standards Aligned with Christian Values

As stated in Section 2, TimelyChurch is a Christian company designed to serve Christian churches and ministries. In keeping with our mission and values, you agree NOT to use the Service to store, transmit, distribute, or display content that:

• Promotes, advocates, or facilitates beliefs or practices that are contrary to traditional, orthodox Christian doctrine as understood by Timely Church LLC
• Blasphemes, mocks, or denigrates God, Jesus Christ, the Holy Spirit, the Bible, or the Christian faith
• Promotes occult practices, witchcraft, satanism, or other spiritual practices contrary to Christianity
• Promotes violence, hatred, or discrimination against any person or group
• Contains pornographic, sexually explicit, or obscene material
• Promotes illegal activities or substance abuse
• Is fraudulent, deceptive, or misleading

9.3 Intended Use of Service

The Service is designed exclusively for legitimate church and ministry management purposes. Examples of intended uses include:

• Managing church members, families, and visitors
• Scheduling volunteers for worship services and ministry activities
• Planning and coordinating church events and services
• Tracking attendance at worship services, classes, and programs
• Communicating with congregation members about church activities
• Facilitating tithes, offerings, and charitable donations
• Managing small groups, Bible studies, and discipleship programs

Using the Service for purposes unrelated to church or ministry management, or for organizations that are not genuine churches or Christian ministries, is a violation of these Terms and grounds for immediate termination.

10. Intellectual Property

The Service, including all software, designs, text, graphics, logos, and other materials (excluding Your Content), is the exclusive property of Timely Church LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

The Service may integrate with or rely upon third-party services, including but not limited to:

• Cloud hosting and storage providers
• Payment processors
• Email and SMS delivery services
• Analytics services

WE ARE NOT RESPONSIBLE FOR THE ACTIONS, OMISSIONS, OR FAILURES OF ANY THIRD-PARTY SERVICE PROVIDERS. This includes, without limitation, any data loss, service interruptions, security breaches, or other issues caused by our hosting providers, cloud storage services, or any other third-party infrastructure. Your use of third-party services is at your own risk and subject to their respective terms.

12. Online Giving and Donations

Timely Church LLC assumes no liability for any issues relating to online giving, donation processing, or text giving functionality. All donation processing is handled by third-party payment processors. We are not responsible for failed transactions, chargebacks, fraud, or any disputes between you and donors or payment processors. You are responsible for complying with all applicable laws regarding charitable donations and tax reporting.

WE SHALL NOT BE LIABLE FOR ANY LOSS OF DATA, REGARDLESS OF CAUSE, INCLUDING BUT NOT LIMITED TO: hardware failures, software bugs, cyberattacks, natural disasters, actions or omissions of third-party hosting or storage providers, power outages, or any other circumstances beyond our reasonable control. You acknowledge that no data transmission or storage system can be guaranteed to be 100% secure or error-free, and you use the Service with this understanding.

16. Indemnification

You agree to indemnify, defend, and hold harmless Timely Church LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Service; (b) Your Content; (c) your violation of these Terms; (d) your violation of any applicable laws or regulations; (e) your violation of any third-party rights; or (f) any dispute between you and your organization's members, donors, or other third parties.

17. Termination

17.1 Our Right to Terminate

Timely Church LLC reserves the absolute and sole right to terminate or suspend your account and access to the Service at any time, with or without cause, with or without notice. Without limiting the foregoing, we may terminate or suspend your access:

• Immediately, without prior notice, for any violation of these Terms
• Immediately, without prior notice, if we determine in our sole discretion that your organization is not aligned with the Christian mission, values, or intended purpose of the Service (see Sections 2 and 3)
• Immediately, without prior notice, if we determine that your use of the Service is inconsistent with the Content Standards set forth in Section 9
• For non-payment of applicable fees after reasonable notice
• At our sole discretion, for any reason or no reason, with or without notice
• If we discontinue the Service entirely

17.2 No Obligation to Explain

We are under no obligation to provide any reason or explanation for any termination or suspension of your account. Our decision to terminate or suspend an account is final and not subject to appeal or review. You acknowledge and agree that Timely Church LLC shall not be liable to you or any third party for any termination of your access to the Service.

17.3 Refunds Upon Termination

17.4 Effect of Termination

Upon termination of your account for any reason:

• Your right to use the Service will immediately cease
• You may request an export of your data within 30 days of termination, unless your account was terminated for violation of these Terms, in which case data export is at our sole discretion
• We may delete Your Content immediately or after a reasonable retention period, at our sole discretion
• You remain liable for any outstanding fees or charges incurred before termination
• Provisions that by their nature should survive termination shall survive, including Sections 2, 8, 10, 13, 14, 15, 16, 18, and 22

18. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Texas, and you hereby consent to the personal jurisdiction and venue of such courts.

You agree that any cause of action arising out of or related to the Service must be commenced within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.

19. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we may also notify you via email or through the Service. Your continued use of the Service after any changes constitutes your acceptance of the modified Terms. If you do not agree to the new Terms, you must stop using the Service.

20. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

21. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Timely Church LLC.

22. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices published on the Service, constitute the sole and entire agreement between you and Timely Church LLC regarding the Service.

This agreement expressly supersedes and replaces all prior and contemporaneous:

• Agreements, understandings, representations, and warranties, whether written or oral
• Statements made on our website, including feature descriptions, pricing pages, comparison pages, use case pages, and any other web content
• Marketing and promotional materials, including brochures, videos, webinars, and advertisements
• Sales presentations, demonstrations, and communications with our sales or support team
• Social media posts, blog articles, newsletters, and email communications
• Third-party reviews, testimonials, or descriptions of our Service
• Any commitments or promises made during pre-contractual negotiations

You acknowledge that you have not relied upon any statement, representation, warranty, or agreement made by Timely Church LLC or its representatives except as expressly set forth in these Terms of Service. No statement or representation made outside of these Terms shall be binding upon Timely Church LLC or create any liability whatsoever. Timely Church LLC expressly excludes any liability for misrepresentation, whether innocent or negligent, based on any content outside of these Terms.
